Creator Agreement

This Creator Agreement applies in addition to our Terms of Service when you publish items on RuleSell. It covers fees, payouts, refunds, the licence you grant us, and what happens on termination. Important: during the current Beta, all items are free and no fees or payouts apply. The fee and payout provisions below take effect only when paid publishing opens after Beta, and will be republished with at least 30 days' notice (DSA Art. 14).

Becoming a Builder or Seller

Builders publish free items. To become a Builder you must hold a verified account and accept this Agreement. After Beta, Sellers will also be able to publish paid items and receive payouts. To become a Seller you will need to (a) meet any qualifying publishing history we publish when paid listings open, (b) complete trader KYC through the payout partner we select, and (c) verify your tax residence. Specific thresholds will be published at least 30 days before paid publishing opens.

Fees and revenue share (post-Beta)

During Beta, every listing is free and RuleSell charges no platform fee. When paid publishing opens, RuleSell will take a platform fee on paid sales and pass the remainder to the Creator. The specific fee percentage, any promotional rates for early creators, payment-processing treatment, and reviewer cuts will be set out in an amended Creator Agreement published at least 30 days before the change. No fee numbers are committed to until then.

Payouts (post-Beta)

No payouts occur during Beta. When paid listings open, the Creator Agreement will describe earnings clearance holds, minimum payout amount, payout cadence, and the payout partner. No payout terms are committed to until that amended Agreement is published.

Refunds

Buyers may request a refund within 14 days of purchase if they have not actively used the item. Refunds are processed against your earnings balance. Chargebacks issued by a buyer's card scheme are also debited from your balance.

License you grant to RuleSell

You retain ownership of your items. By publishing on RuleSell you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, distribute, display, perform, and transmit the items for the purpose of operating the marketplace and fulfilling buyer entitlements. The licence terminates with the item (subject to entitlements already granted to buyers).

Your warranties

You warrant that you own or have permission to publish each item, that the item does not infringe third-party rights, that it is safe to install, that the declared SPDX licence is accurate, and that you will indemnify RuleSell against claims arising out of a breach of these warranties.

Trader status (post-Beta)

Trader status is not required during Beta because no paid sales occur. When paid publishing opens, sellers will confirm they are acting in their business or professional capacity and provide the trader information required by DSA Art. 30 through the payout partner named in the amended Creator Agreement, including legal name, registered address, contact details, registration number, and bank account.

Tax obligations

You are solely responsible for determining, declaring, and paying all taxes due on your earnings from RuleSell, including income tax, VAT, and any other applicable taxes in your jurisdiction. RuleSell may require you to submit tax documentation (such as IRS Form W-9 for US-based creators or Form W-8BEN for non-US creators) before payouts can be processed. If required documentation is not provided, we may withhold up to 30% of your earnings as backup withholding in accordance with US tax law. RuleSell may report your earnings to tax authorities as required by law, including under the IRS 1099-K programme and the EU DAC7 reporting framework.

Termination

Either party may terminate this Agreement at any time. On termination your items are unpublished. Pending payouts continue to be processed for 90 days to allow for refunds and chargebacks; afterwards the residual balance is paid out subject to the minimum threshold.
